Terms of Service

These Terms of Service ("Terms") govern your use of the noxusstudios.com website (the "Site"), operated by Noxus Studios ("Noxus", "we", "us"). By browsing, sending a message, or booking a discovery call, you agree to these Terms. If you don't agree, please don't use the Site. Engagements for paid work are governed by a separate signed service agreement — these Terms apply only to your use of the Site itself.

1 · Who we are

Noxus Studios is a sole-proprietorship web design and development studio based in Montréal, Québec, Canada. We operate publicly under the brand name Noxus.

2 · Acceptance of these Terms

By accessing the Site, you confirm you are at least 14 years old (the threshold for valid consent under Québec Law 25) and have the capacity to enter into this agreement. If you are using the Site on behalf of an organization, you confirm you have the authority to bind that organization to these Terms.

We may update these Terms from time to time (see Section 10). Continued use of the Site after changes means you accept the updated Terms.

3 · Use of the Site

You may use the Site to learn about our services, view our work, send us a message, and book a discovery call. You agree not to:

  • Scrape, mirror, or systematically extract content from the Site, except for reasonable, non-commercial referencing
  • Attempt to gain unauthorized access to the Site, its server, or related systems
  • Submit spam, malicious code, viruses, or fraudulent inquiries via the contact form
  • Use the Site to harass, defame, or impersonate any person or organization
  • Reverse-engineer, decompile, or attempt to extract source code beyond what is publicly viewable through standard browser tools
  • Use any automated system (bots, AI agents, etc.) to interact with the Site in a way that disrupts service for other users

We reserve the right to block access from any IP address or visitor who violates these rules, without notice.

4 · Intellectual property

The Site — including its design, code, copy, images, brand mark, typography choices, and overall presentation — is the intellectual property of Noxus Studios and is protected under Canadian and international copyright and trademark law.

You may:

  • View, browse, and screenshot pages for personal, non-commercial reference
  • Link to any public page on the Site, provided the link does not imply false endorsement or affiliation
  • Quote short excerpts of copy with proper attribution to noxusstudios.com

You may not copy, republish, or repurpose the Site's design or code in another commercial project without prior written permission.

Client deliverables — code, designs, and assets we build for paying clients — are governed by the signed service agreement and become the client's property upon final payment. Those are separate from the Site itself.

5 · Inquiries are not contracts

Submitting the contact form, booking a discovery call, or exchanging emails does not create a binding service contract between you and Noxus. No work begins, no deliverable is promised, and no fee is owed until:

  1. A written service agreement (PDF) is signed by both parties, AND
  2. The 50% deposit has cleared.

Pricing displayed on the Site (Starter, Custom Build, Pro, Enterprise) is indicative — final fees, scope, and timeline are confirmed in the signed agreement based on your specific project.

6 · Third-party services & links

The Site embeds or links to third-party services (Calendly for scheduling, Google Fonts for typography, Cloudflare for hosting and form processing). Use of those services is subject to their own terms and privacy policies. Noxus is not responsible for the availability, content, or practices of any third party.

External links to other websites are provided for convenience. We do not endorse and are not responsible for content hosted on external sites.

7 · Disclaimer & limitation of liability

The Site is provided "as is" and "as available", without warranties of any kind — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We make reasonable efforts to keep the Site online and accurate, but we do not warrant that:

  • The Site will be uninterrupted, error-free, or free of malicious code
  • Information on the Site is complete, current, or free of typographical errors
  • Any specific result will be achieved by following information on the Site

To the maximum extent permitted by applicable Québec law, Noxus shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising from your use of (or inability to use) the Site. Our total aggregate liability arising from your use of the Site is limited to the greater of CAD $100 or the total fees you have paid us in the past twelve months under a separate service agreement.

Nothing in these Terms excludes any liability that cannot be excluded under applicable Québec or Canadian law (including consumer protection legislation, where it applies).

8 · User submissions

When you send us a message — through the contact form, by email, or otherwise — you confirm that:

  • You own or have the right to share the content of the message (text, attachments, references)
  • The content does not infringe third-party rights, contain malicious code, or violate any law
  • You grant us a non-exclusive, royalty-free license to read, store, and respond to the message for the purpose of replying to your inquiry and, if applicable, delivering services

We treat your submission as confidential and handle it according to our Privacy Policy. We will not use the substance of your message for marketing without your explicit consent.

9 · Governing law & jurisdiction

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any dispute arising from your use of the Site will first be addressed through good-faith negotiation. If unresolved within thirty (30) days, both parties agree to attempt mediation in Montréal before pursuing litigation. The courts of the judicial district of Montréal, Québec have exclusive jurisdiction, subject to your statutory rights as a consumer where applicable.

10 · Changes & contact

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be announced on this page; substantial changes affecting how we handle your data will also be communicated by email if you have previously contacted us.
